Description of the company and its operations
Plexity Holding Corp. (“Plexity”) is a regulatory-technology company. The Company’s business is the development and commercialization of artificial intelligence software that automates regulatory compliance and review workflows.
The Company’s first product is the SimplyBylaw platform, which automates building permit review and building code compliance assessment for the architecture, engineering and construction industry and for municipalities. The core of the SimplyBylaw platform is the Automated Plan Review software, referred to as APR.
While the Company’s initial focus is the building permit and building code compliance market, the Company intends to apply the same artificial intelligence and regulatory-content approach to compliance and review processes in other regulated industries.
The platform is designed to assist applicants in achieving “permit readiness” by automatically reviewing drawings and documents for compliance with building codes and municipal by-laws before submission to a municipal authority, identifying potential compliance deficiencies, and providing actionable recommendations. By automating pre-submission code checks, the platform is intended to reduce permit errors, reduce the volume of municipal review comments, and shorten review cycles for both applicants and regulators.
The platform is designed to serve three primary customer segments. For architects, the platform is intended to flag compliance issues early, reduce reviews and comments, automate plan review and support permit readiness. For municipalities, the platform is intended to reduce the time and resources required to review applications, improve the quality of submissions, reduce permitting backlogs and support multidisciplinary review.
For code consultants, the platform is intended to support review across numerous municipal codes, reduce the time spent on code investigation and support completeness checks. Management has stated that the platform is intended to support, and not to replace, the professional judgment of designers and the official review function of municipal authorities.
The building and construction industry is subject to extensive regulatory requirements. Building designers are required to demonstrate compliance with multiple building codes and municipal by-laws at various stages of the design and permitting process. Traditionally, this compliance review is a manual, iterative process that involves substantial time and cost and is prone to human error, which can result in permitting delays, increased expense, and lost productivity. Municipalities throughout North America face increasing development activity, rising building code complexity, staffing constraints and pressure to accelerate permit approvals, including to support housing supply objectives.
Management believes that these conditions have created demand for technologies that automate regulatory compliance review. Because the SimplyBylaw platform is designed to integrate into the Revit design workflow, management believes the Company is positioned to benefit from the continued adoption of building information modelling tools.
Milestones that Plexity has achieved to date:
January 2024 - Entered into Software Development Agreement and commenced development of the SimplyBylaw platform focused on AI-powered permit review and code compliance automation.
Q1 2024 - Completed software architecture design, AI integration planning, workflow analysis, and feasibility studies relating to municipal permitting and code compliance automation.
Q2 2024 - Developed first functional prototype demonstrating AI-driven compliance checking and automated rule validation.
April 2024 - Conducted initial product demonstrations and discovery meetings with the City of Vancouver regarding digital permit modernization and AI-powered compliance workflows.
May 2024 - Commenced engagement with the City of North Vancouver to evaluate permit review automation and municipal workflow integration opportunities.
May 2024 - Conducted discussions and demonstrations with the District of North Vancouver concerning AI-powered permit compliance and proof-of-concept opportunities.
May 2024 - Initiated discussions with the City of Revelstoke regarding implementation of AI-driven building code and zoning compliance review capabilities.
May 2024 - Conducted discussions with the Village of Anmore regarding automated digital plan validation and municipal bylaw compliance workflows.
May 2024 - Began engagement with the City of Kelowna and scheduled municipal product demonstrations.
May - June 2024 - Initiated engagement with FortisBC regarding applications of AI-powered compliance and permitting technologies for municipalities and Indigenous communities.
June - November 2024 - Established dialogue with the Province of British Columbia, Ministry of Housing, regarding digital permitting, AI-assisted code interpretation and provincial permitting initiatives.
Q3 2024 - Expanded prototype into a beta version incorporating machine learning models, workflow automation, and compliance assessment functionality.
December 2024 - Successfully completed and received delivery of the Minimum Viable Product (MVP), beta version, source code, and core platform components pursuant to the Software Development Agreement. Ownership and control of the intellectual property transferred to the Company.
2025 - Continued refinement of compliance logic, municipal datasets, workflow automation, security, scalability, and commercialization readiness.
April - May 2025 - Participated in the City of Calgary procurement process and Proof of Concept competition focused on AI-powered validation of development permit applications against municipal bylaws and the National Building Code – Alberta Edition. The Company advanced through the procurement evaluation process and was shortlisted for further consideration.
2025 - 2026 - Completed multiple rounds of municipal validation and stakeholder engagement across Vancouver, North Vancouver, Kelowna, Revelstoke, Calgary, FortisBC and the Province of British Columbia, providing direct market validation and product refinement opportunities.

Principal(s) of the company
Ramandeep K. Rai is the Chief Executive Officer, Secretary, Treasurer, Chief Financial Officer, a director and the Promoter of the Company, and has served as the sole director and chief executive officer of the Company since its incorporation on May 29, 2019.
Ms. Rai is a legal and business administration professional with over seven years of experience supporting senior legal counsel and managing legal administrative operations, and has been involved in the operational development and corporate structuring of the Company and the SimplyBylaw platform.
Shahab Samimi is the Chief Technical Officer of the Company. Mr. Samimi has over thirteen years of experience in the technology and startup sectors in product management, investment and corporate strategy. He is currently the Chief Executive Officer of Humanoid Global Holdings Corp. and was previously a senior product manager at a Fortune 500 company and a venture capital investor.
Mr. Samimi holds a Master of Business Administration from the Beedie School of Business at Simon Fraser University.
Sarvnaz Loloei is a co-founder and Chief Marketing Officer of the SimplyBylaw platform and a technology and marketing professional with over ten years of experience in the technology and marketing sectors. Sarvi Loloei is a Data Product Manager with expertise in AI, machine learning, and data-driven product development.
She currently leads the strategy and development of AI- powered data products at Jadu Beauty. Previously, she worked as a Data Scientist at Jadu Beauty and EyeCareX, developing machine learning solutions for healthcare applications, and as a Product Data Manager at SimplyBylaw, where she helped build AI-powered permit review and municipal code compliance software. She began her career as a Machine Learning Engineer at Clearly, developing AI models and intelligent software solutions across multiple industries.
Shar Mortezaei is an advisor of the Company. Mr. Mortezaei is an entrepreneur and operator with experience across venture acceleration, regulated industries, and corporate finance. He currently works at 49.studio, a Vancouver-based venture studio, where he supports the validation and commercialization of early-stage technology companies.
He previously founded Nimbus Cannabis, served as a director of the BC Craft Farmers Co-Op, co-founded CopperGro, an agtech startup, and worked in merchant banking supporting advisory mandates and capital raises. Mr. Mortezaei holds a Bachelor of Commerce (Honours) from the Sauder School of Business at the University of British Columbia.
